Jeff has extensive experience and conducts his practice in the  areas described below. Mr. Warren does this work at a responsibility and quality level he believes is comparable to the services one could obtain from any similarly experienced lawyers, including those in or alumni of large firms--he is an alum himself. He provides this quality and responsive service without the overhead that make similar quality services relatively expensive.

In matters that require specialized knowledge in tax or other substantive areas or a local courtroom presence, Jeff has a network of like minded and efficient counsel, accountants and others to provide a complete and quality solution.

Jeff does most of his work in the following areas:

  • Corporate finance, including private and venture financings involving both equity and debt.
  • Business acquisitions and sales, including representation of both buyers and sellers of businesses.
  • Business formation-consideration of the proper entity, and getting the company properly organized with a clear understanding among the constituents from the very start is critical to long term business success.
  • Fund formation and management-several small hedge and venture funds are clients.
  • General commercial transactions-most fundamental sales, licensing or other business transactions can be serviced for most any industry, as can deals that exploit the kind of creativity in planning only experience can bring and execute.
  • Corporate governance-we advise boards and other constituents in all business structures; I am frequently engaged to be the "outside/inside General Counsel."
  • Regulatory matters-I handle compliance and disputes involving many agencies, including the SEC, FINRA, state securities and other business regulatory agencies.
  • Workouts and restructurings-I advise companies on alternatives for working out a variety of issues, including insolvency and related matters. We have structured several pre-packaged bankruptcies and executed analogous reorganizations.
  • Arbitration-I appear as an advocate in disputes that are subject to arbitration and I am an arbitrator who hears cases for the American Arbitration Association.
  • ADR Generally-we undertake, in several forums, mediation, arbitration and other negotiated dispute resolution and often counsel on finance and other matters that are in the "pre-litigation" stage.
  • Day to day business issues for companies in life sciences, manufacturing, finance and several other industries.
  • We execute cross border transactions and work well with clients and counsel in Europe and Asia.
